Terms of Service

1. Engagement & Scope of Work
These Terms of Service govern all website development, software engineering, systems automation, and API integration services provided by DevLink Technologies to clients ("Client", "you"). Specific deliverables, scope, and technical specifications are documented in the project proposal or quotation provided prior to kickoff.
2. Payment Milestones & Invoicing
Unless explicitly agreed in writing, all client projects adhere to our standardized 3-stage milestone structure:
- Deposit (40%): Due upon signing to secure development scheduling and begin initial architecture/design.
- Preview Milestone (40%): Due upon presentation of the staging website or functional software preview.
- Final Launch (20%): Due upon final quality verification and client approval, immediately prior to live production DNS cutover and asset transfer.
Accepted payment methods include M-Pesa Buy Goods/Paybill, Direct Bank Wire Transfer, and major debit/credit cards in KES or USD equivalent.
3. Turnaround Timelines & Client Responsibilities
Estimated delivery windows (such as our 7-day turnaround for starter and business websites) begin only once the Client has provided all required onboarding materials: copy, brand assets, product catalog, and M-Pesa Paybill/Till credentials.
Delays in client feedback, sign-offs, or asset delivery will correspondingly extend the final go-live date.
4. Intellectual Property & Code Ownership
Upon 100% full settlement of all project invoices, all custom source code, custom design assets, and database rights created specifically for the project become the sole intellectual property of the Client. DevLink Technologies retains no restrictive lock-in over client codebases or domain names.
DevLink Technologies reserves the right to showcase the completed project in our public portfolio and case studies unless a non-disclosure agreement (NDA) is executed in advance.
5. Maintenance, Warranty & Support
Every new website or system build includes thirty (30) days of complimentary post-launch technical support covering bug fixes, minor text adjustments, and hosting stabilization. Ongoing maintenance, feature expansions, and third-party API changes (e.g. Safaricom Daraja major version upgrades) are available under annual support plans or hourly ad-hoc agreements.
6. Limitation of Liability & Governing Law
To the maximum extent permitted under Kenyan law, DevLink Technologies shall not be liable for indirect, incidental, or consequential damages resulting from third-party gateway downtime (e.g., Safaricom network outages, cloud hosting disruptions) or unauthorized client credential sharing.
These terms are governed by and construed in accordance with the laws of the Republic of Kenya, and any disputes shall be subject to the jurisdiction of the courts located in Nairobi.
